Head of Governance

About the role

Good governance and compliance is fundamental to our success as a membership organisation and charity. The Head of Governance is a new role responsible for ensuring the NHS Confederation follows effective, transparent and accountable governance and compliance procedures which comply with the good practice and fulfil charity and statutory requirements.

About you

Essentially, we are looking for a highly knowledgeable individual who has experience of advising organisations on governance matters, both internally and externally, and has a strong understanding of best practices in organising governance within business, ideally within the charity sector. To be successful you will be skilled at forming positive relationships with key stakeholders at all levels of seniority.

  • Governance

    • Ensure that the Charity’s key governance processes and procedures are aligned to sector best practice and are adhered to, culturally and internally.
    • Manage the Governance Manager providing effective coaching and performance management to ensure they successfully fulfil the responsibilities of their role.
    • Provide expert advice to the Chair and Chief Executive on strategic governance matters to ensure the organisation keeps up with best practice.
    • Keep abreast of sector governance developments and advising the Chair and Chief Executive where appropriate.
    • Work with the Director of Finance and IT to deliver the trustees report in the Annual Report and Accounts.
    • Review and revise key corporate policies, on behalf of the Board, for approval and adoption (including but not limited to the Gifts and Hospitality, Risk Management, Conflict of Interest and Whistleblowing Policies)
    • Design and implement a trustee induction programme and work with the Chair to deliver trustee professional development as required.
    • Develop and manage an annual cycle of board appraisals and review of effectiveness.

    Compliance

    • Act as the organisational lead for data protection, providing expert advice in relation to all aspects of data protection including data impact assessments, GDPR and data handling agreements with suppliers and contractors.
    • Managing the data breach notification process and ensuring key learning is identified and shared. 
    • Delivering training and advice to upskill staff in data protection, managing the data breach notification process and ensuring necessary data handling agreements are in place with suppliers and contractors.
    • With the IT Manager, co-chair the IT, Data Governance and GDPR user group.
    • Be the point of contact for the supervisory authority and data subjects.

    Risk management

    • Lead the risk strategy and policy on behalf of the NHS Confederation.
    • Monitoring and influencing the Confederation’s risk culture ensuring it’s aligned to the organisation’s overall culture. Using benchmarking to compare the Confederation’s risk management approach with other bodies. 
    • Ensuring that the assessment and use of risk in strategic decision making is effectively embedded and used across the business.
    • Advise the Chair and CEO on the assessment of risks facing the Confederation.
    • Attend the Audit Committee to present the risk register and take away any actions or recommendations.
    • Develop a process for conducting deep dives into specific areas’ policies and procedures to ensure compliance with relevant requirements and appropriate management of risk.
    • Facilitate the Business Continuity Planning group ensuring plans are maintained and regular meetings are held to review them.
    • Manage the organisation’s insurance policy and the annual renewals process.

    Other

    • Accountable for the control of the Governance and Compliance budget and expenditure to ensure effective cost control.
    • Manage ad hoc projects and programmes as required.
  • Technical Knowledge: your experience, qualifications and subject matter knowledge

    • An extensive understanding and expertise in each of the three specialisms required by the role - governance, compliance and risk management.
    • Professional qualifications in relation to governance and data protection.
    • How you would apply your relevant experience to this role and the NHS Confederation.

    • Using your expertise to upskill and educate others in relation to risk and compliance in order to promote adherence to relevant policies, regulations and legislation.

    Influencing and persuading: relationship building and managing stakeholder relationships

    • Build trusting relationships with colleagues across the organisation and at the highest levels of seniority.
    • Make a strong impact with internal colleagues and stakeholders.
    • Form and articulate fact and evidence-based opinions in relation to governance, compliance and risk but open to changing your opinion.

     

    • Experience of governance issues in the NHS, likely gained through working in a similar role in a trust environment or similar.
    • Previously operated as a board secretary in a charity or public sector organisation.
    • Budget management experience.
