Membership terms and conditions for primary care

Please read these terms and conditions carefully before applying for membership to the NHS Confederation.

Membership terms and conditions for the NHS Confederation’s new network for primary care starting in April 2022.

 

“Auto Renewal Date”

1 April every calendar year;

“Benefits”

means the Benefits available to the Network Member during the Membership Term;

Membership Fee

The fee for core membership is £350 per annum for all primary care providers. The fee for premium membership is based on a Primary Care Network population. For Primary Care Federations, the premium fee is based on turnover. .  Fees for other primary care providers will be available shortly. “Membership Form”

the form made available by NHS Confederation to become an NHS Confederation primary care member;

“Membership Term”

means the period described in the Membership Fee information and which is renewable on the Auto Renewal Date until the agreement is terminated by either party in accordance with these terms;

“NHS Confederation, We, Our”

means NHS Confederation, 2nd Floor, 18 Smith Square, Westminster, London, SW1P 3HZ;

“Member”

means the Primary Care provider represented in the membership form;

“Terms and Conditions”

means these terms and conditions that apply to the delivery of the Benefits;

“Website”

means NHS Confederation’s website https://www.nhsconfed.org/ ;

“You”

means the incorporated legal entity (being an incorporated Primary Care provider, ) entering into these Terms and Conditions as specified in the Membership Form

Agreement to these terms    

By submitting a Membership Form to become a Network Member, you confirm that you have read and agree be bound by these Terms and Conditions and to the extent necessary you will procure that each individual Primary Care Member complies with these Terms and Conditions.

You should print a copy of these Terms and Conditions for your future reference.

Membership Benefits

Subject to payment of the Membership Fee, NHS Confederation shall at its sole discretion provide the following Benefits to the Network for Primary Care Member during the Membership Term:

  • the latest information, comprehensive briefings, bulletins and advice via our bespoke app to keep you up to speed with what’s happening in the NHS and how they impact you
  • the opportunity to connect with your colleagues across England, to share information, ideas and solutions to challenges as they arise 
  • the chance to promote your achievements, ensuring your voice is heard at system, regional and national level [CT1] 
  • the chance to upgrade to our premium membership to increase your influence and shape the future of the NHS 

Core membership costs £350 pa for all primary care providers.

Premium offer

Our premium membership offers providers the opportunity to drive the future direction of the NHS, receiving all the benefits of the core membership plus:

NHS Confederation reserves the right to alter, amend or add to the Benefits at any time without prior notice to the Network Member.

A Network Member is not a corporate member of NHS Confederation and the Network Member shall have no right to vote or participate in the NHS Confederation. 

Membership Fee Payment

Membership Term shall be for the period stated in the Membership Form and is subject to payment of the Membership Fee.

You will confirm in the Membership Form whether payment for the Membership Fee will be made by direct debit or via an invoice.

Where you have opted for direct debit payment, payment for the Membership Fee shall be taken in accordance with the terms of the direct debit mandate.

The direct debit must not be cancelled until the Membership Fee has been paid.

Where you have opted for payment via an invoice, we will submit an invoice for the Membership Fee and you shall pay the Membership Fee within 30 days of the invoice date. 

Non payment    

If the direct debit payment fails or the invoice is not paid in accordance with its terms, we shall be entitled to cancel the access to the Benefits and the PCN Member will no longer have access to the Benefits.

Auto Renewal    

These Terms and Conditions will be automatically renewed on the Auto Renewal Date.

Membership Fees will vary year to year and NHS Confederation will write to you 6 weeks prior to the Auto Renewal Date to confirm the new Membership Fee and Membership Term. This information will also be available on our website

Should you not wish to renew these Terms and Conditions at the end of the current Membership Term, you shall provide notice in writing to us at least one calendar month before the Auto Renewal Date.

Auto Renewal Payment    

Where the network Member has opted for direct debit payment, payment for the Membership Fee shall be taken in accordance with the direct debit mandate.

Where the network Member has opted for payment via an Invoice, we will submit an invoice for the Membership Fee one calendar month prior to the Auto Renewal Date and you shall pay the Membership Fee within 30 days of the invoice date. 

Data Protection

In order to deliver the Benefits,  we will need to process Personal Data about you and that of anyone else about whom you provide information to us in connection with the Benefits, and we will use the information you provide to contact you and them.

Please therefore make sure that people whose information you provide are aware that you are submitting information to us, and wherever possible please provide us with their ‘work’ contact details rather than personal ones.

Our Privacy Policy is available here which sets out ways in which we process any personal data we collect from or about you, or that you provide to us, and that Privacy Policy shall apply to the delivery of these Benefits https://www.nhsconfed.org/primary-care/become-member

Intellectual Property    

All intellectual property rights including but not limited to the material and information provided through the Benefits throughout the world belongs to us.

You and the Network Member have no intellectual property rights in, or to the information provided through the Benefits other than the right to use them in accordance with these Terms and Conditions.

You and the Network Member must not modify the paper or digital copies of any materials you have received, printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

You and the Network Member must not use any part of the content received through the Benefits for commercial purposes without obtaining a licence to do so from Us.

You and the Network Member agree not to reproduce, duplicate, copy or re-sell any part of the information or materials received through the Benefits.

Being a member of the primary care network  does not permit You or a Network Member to use the NHS Confederation logo or name in any circumstances and these Terms and Conditions do not constitute a licence to use such Our logo or name.

Warranties and liabilities    

Nothing in these Terms and Conditions excludes or limits Our liability for death or personal injury arising from our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

To the extent permitted by law, We exclude all conditions, warranties, representations or other terms that may apply to the Benefits or any content of it, whether express or implied, including but not limited to the exclusion of loss and injury caused by you.

We will not be liable to You for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

We assume no responsibility for the content of websites linked on our website. Such links should not be interpreted as endorsement by Us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

Our total aggregate liability to You for all losses arising out of or in connection with these Terms and Conditions (whether such losses arise in contract, tort, negligence, breach of statutory duty or otherwise) shall not exceed the Membership Fee received from you in the preceding 12 months. 

General Information

The content received through the Benefits is provided for general information only.

It is not intended to amount to medical advice or advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action based on the content received through the Benefits.

Termination     

Termination by You: You may terminate these Terms and Conditions by giving one calendar month written notice to Us. If this notice is provided during the Membership Term, the PCN Member shall not be entitled to a refund on the fees.

Termination by Us: We may terminate these Terms and Conditions with immediate notice if

(i) You fail to pay the Membership Fee;

(ii) You or the Network Member are in material breach of these Terms and Conditions;

(iii) You go into liquidation, You make a voluntary arrangement with Your creditors or You have a receiver or administrator appointed; or

(iv) You or the Network Member bring the NHS Confederation into disrepute.

Effects of terminate    

On termination for any reason, the Benefits shall cease and You and the Network Member will no longer have access to the Benefits.

Termination whatsoever shall not affect any rights to the Membership Fee, which are due, and any rights, liabilities or obligations that accrued before such termination.

Entire Agreement  

These Terms and Conditions represents the entire understanding between the parties in relation to the subject matter hereof and (except in respect of any fraudulent misrepresentations) supersedes all agreements and representations made by either party, whether oral or written.

Third-Party Rights   

These Terms and Conditions do not create or infer any rights under the Contracts (Rights of Third Parties) Act 1999 which are enforceable by any person who is not a party to the contract.

Governing Law   

These Terms and Conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the law of England and shall be subject to the exclusive jurisdiction of the English Courts.
